1. Acceptance of terms
These Terms of Service ("Terms") are a legal agreement between you ("you", "your") and StickyBid ("StickyBid", "we", "us", "our"). By creating an account, installing the software, or otherwise using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.
2. About the service
StickyBid is a software service that listens to live-commerce event streams (starting with Whatnot) and sends shipping or fulfillment labels to a supported thermal printer connected to your computer. The service consists of a desktop tray application, a browser extension, and related backend components.
3. Accounts
To use paid features of StickyBid, you must create an account. You agree to provide accurate information, keep your password confidential, and promptly notify us of any unauthorized use of your account. You are responsible for all activity under your account.
You must be at least 18 years old to create an account.
4. Subscription & billing
StickyBid is offered as a recurring subscription with two billing options:
- Monthly plan — billed every month in advance.
- Annual plan — billed once per year in advance at a discounted rate compared to 12 monthly charges.
You choose your billing cadence at signup, and you can switch between monthly and annual at any time from your account settings (the change takes effect at your next renewal). Current plan pricing is shown on our pricing page and is subject to change with notice to existing subscribers at least 30 days in advance of the next billing cycle.
Payment is processed by Stripe, Inc. By subscribing you authorize us, via Stripe, to charge your payment method on a recurring basis (monthly or annual, depending on the plan you selected) until you cancel. All fees are in U.S. dollars unless otherwise stated and are exclusive of any applicable taxes, which you are responsible for.
If a payment fails, we may suspend or disable your access until payment is received.
5. Free trial
StickyBid may offer a free trial on new subscriptions. The trial ends at the earlier of the following two limits, whichever happens first:
- Time: 24 hours from the moment the trial starts; or
- Usage: 250 labels printed through the service.
A payment method is required to start a trial. If you do not cancel before the trial ends (whether by time or by label count), your subscription will automatically continue and you will be charged the first subscription fee for the plan you selected (monthly or annual). Trials may not be combined with other offers and may be changed or discontinued at our discretion.
6. Cancellation
You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current paid billing period. You will continue to have access to paid features until that date. See our Refund Policy for details on refunds.
7. Acceptable use
You agree not to, and not to permit others to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of the StickyBid software, except and only to the extent that such activity is expressly permitted by applicable law.
- Copy, modify, translate, adapt, or create derivative works based on the StickyBid software, extension, tray app, or any component of it.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the software.
- Resell, sublicense, rent, lease, or otherwise make the service available to any third party without our written consent.
- Share, publish, or distribute your license key, API key, or account credentials with anyone else.
- Use the service to violate any law, third-party right, or the terms of any platform you connect to (including Whatnot).
- Attempt to gain unauthorized access to the service, its related systems, its source code, or other users' accounts.
- Interfere with or disrupt the integrity or performance of the service, or the servers or networks that host the service.
- Use automated scraping, bots, or other systems to extract data beyond what the service offers in its intended features.
- Build a competing product or service using access to or knowledge of the StickyBid software.
We may suspend or terminate accounts that we reasonably believe are engaged in prohibited activity.
8. Intellectual property
StickyBid and its software, content, branding, and design are owned by StickyBid and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the service for your own business purposes while your subscription is active.
You retain ownership of any content you input into the service (for example, your company name or logo used on labels). You grant us a limited license to use that content solely to provide the service to you.
9. Third-party services
StickyBid connects to and relies on third-party services, including but not limited to Whatnot (event stream), Stripe (payments), and your operating system's print subsystem. Your use of those services is subject to their own terms. We are not responsible for third-party outages, changes, or policy decisions that affect the service.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or that every sale or event will be captured and printed. Third-party platforms (such as Whatnot) may change their APIs or event formats at any time, which can temporarily affect functionality.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STICKYBID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO STICKYBID IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold StickyBid harmless from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the service, your violation of these Terms, or your violation of any law or third-party right.
13. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. Dispute resolution
Any dispute arising out of or relating to these Terms or the service shall first be attempted to be resolved informally by contacting us at hello@stickybid.app. If not resolved within 30 days, the dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in California. You and StickyBid each waive the right to a jury trial and to participate in a class action. Either party may seek equitable relief in a court of competent jurisdiction for matters relating to intellectual property infringement.
15. Changes to these terms
We may update these Terms from time to time. When we do, we will post the new version on this page and update the effective date above. Material changes will be communicated to active subscribers by email at least 14 days before they take effect. Your continued use of the service after the effective date constitutes acceptance of the revised Terms.
